Terms of Service

These terms govern access to the websites and platform services operated by Succession AI Inc., including seller and buyer workspaces, business succession planning, matching, valuation, and data assessment and transfer features. By using these services, you agree to these terms. If you act for a company, you must have authority to bind it.

A separately signed engagement letter, NDA, subscription agreement, data-processing agreement, or product-specific agreement controls over these general terms for its subject matter if there is a conflict. These terms do not create an advisory engagement, brokerage mandate, data licence, or obligation to complete a transaction. See our Privacy Policy for information handling.

You must be at least 18, provide accurate account information, keep sign-in credentials secure, and notify us of suspected unauthorized access. Use only accounts, companies, documents, and connected services you are authorized to access.

Company administrators and authorized deal participants are responsible for the access they grant. An administrator’s technical ability to connect an account does not establish ownership of every file or permission to disclose another person’s confidential information.

Sellers may provide business and financial information, describe exit goals, prepare materials, and engage with prospective buyers. Buyers may provide acquisition criteria, experience and funding information, review opportunities, and communicate with sellers or advisors. Keep material information current and do not misrepresent your identity, authority, financial condition, or ability to complete a transaction.

You are responsible for your own investigation and professional advice. A profile, match, introduction, estimate, or platform status is not a guarantee of accuracy, funding, suitability, confidentiality by another party, or completion of a sale. Transaction commitments require the applicable agreements between the parties.

You retain your rights in information and documents you provide. You grant Succession AI and its service providers permission to host, copy, process, organize, analyze, and display that content as needed to provide the services you request, subject to the Privacy Policy and applicable agreements.

You must have the rights and lawful authority to provide personal, business, financial, employee, customer, and other third-party information. Remove unnecessary sensitive information. This permission does not transfer ownership or, by itself, authorize sale or licensing of your content as a dataset. Any eligible non-Google data licensing requires a separate agreement.

Share deal materials only with authorized recipients and follow applicable NDAs and engagement agreements. Information approved for a public listing may be visible publicly; confidential data-room material is subject to the applicable access controls. Permission to upload is not permission to publish every uploaded document.

Recipients must use confidential information only for the permitted purpose and must not disclose it contrary to their obligations. Removing access cannot retrieve copies already downloaded or shared outside the service.

Integrations access information according to provider permissions and the feature you authorize. QuickBooks connections support accounting and valuation work. Google Workspace, Microsoft 365, and other supported sources can provide reporting, inventory, or content access depending on their available permissions.

In Succession Data, connecting a source does not itself approve a content transfer. A workspace owner separately selects sources and approves the transfer notice. Transfers can include available history and attachments. Provider limits, missing permissions, unsupported formats, changes, and unavailable records can leave gaps. A transfer or assessment does not certify completeness or replace your backup or legal archive.

Data transfer content is stored privately for 30 days and accessible to authorized Succession AI staff for the approved work. Activity provides controls to stop transfers or delete received files. Originals remain in the source service. Disconnecting does not delete previous transfers; provider-side organization permissions may also require revocation by your administrator.

Google Workspace content and derived results are limited to the authorized M&A and assessment features, subject to Google’s user-data restrictions. They are excluded from data licensing, advertising, and general-purpose AI model training. Connecting or transferring Google data does not automatically share it with potential buyers. Human access and sharing are subject to the limits in our Google Workspace privacy notice.

Automated valuations, matches, summaries, extracted information, and generated drafts are informational tools and may contain errors or omissions. Review them against original sources before using or sharing them. They are not a certified appraisal, legal, tax, investment, or financial opinion unless a separate signed engagement expressly provides otherwise.

We do not guarantee a sale price, buyer, financing, investment return, payment for data, or transaction. You remain responsible for decisions and for obtaining qualified professional advice.

Fees, billing periods, renewals, cancellation, refunds, and any success fee are governed by the offer or agreement you accept for the relevant service. Creating an account does not itself establish a success fee or authorize an undisclosed charge. You are responsible for agreed charges and applicable taxes.

Third-party services may have their own terms, charges, and availability. We do not control those services or their permission decisions.

Do not misuse the service, bypass access controls, impersonate others, upload unlawful content or malware, send unauthorized communications, scrape confidential records, or use information for purposes you have not been authorized to pursue.

Succession AI and its licensors retain rights in the platform, software, branding, and templates. We grant you a limited right to use them through the service for your permitted business activities. This does not give you ownership of another user’s content or rights to redistribute confidential information.

We may maintain, change, or discontinue features, and restrict access to address security, unlawful use, nonpayment, or material breaches. We will provide notice where reasonably practicable or required by an applicable agreement or law. We do not promise uninterrupted service or recovery of every item.

You may stop using the service and request account deletion. Termination does not cancel accrued payment obligations or continuing confidentiality duties. Data handling after termination follows the Privacy Policy, applicable agreements, and legal retention requirements.

To the extent permitted by applicable law, the platform and automated outputs are provided as available, without warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. Nothing here excludes rights or duties that cannot lawfully be excluded.

To the extent permitted by law, Succession AI is not liable for indirect or consequential loss, lost profits, lost opportunities, or losses caused by reliance on unverified outputs or another transaction participant’s conduct. Any liability terms in a separately signed agreement govern the services covered by that agreement.

We may update these terms and will provide notice of material changes where required. Changes do not retroactively expand permission to use your confidential content or replace a signed agreement without the required agreement or consent.
